Uramaki Studio: Terms of Service

1. Acceptance of Terms

Welcome to Uramaki. By clicking 'Sign Up' or using our platform, you’re entering a binding agreement with Uramaki Studio [Nome Società Sagl/SA], based in Switzerland. Think of this as the rulebook for our collaboration. If you don't agree with these rules, we can't let you play in our sandbox.

2. Service Description & AI Nature

Uramaki provides an AI-powered suite for social media asset generation. Important: You acknowledge that AI is an evolving technology. While our algorithms are top-tier, the output is generated based on patterns and data. We do not guarantee that the content will always be unique or factually accurate. It’s a co-creation: we provide the tools, you provide the direction.

3. User Accounts

• Accuracy: Keep it real. Provide accurate info.
• Security: Your password is your responsibility. If you lose it or someone steals it, let us know immediately.
• Age: You must be at least 18 (or the legal age in your country) to use Uramaki.

4. Intellectual Property & Ownership

This is the most important part for a creator:

• Your Inputs: You own the prompts, ideas, and original images you upload.
• The Output: Subject to your compliance with these Terms and your payment of the subscription, you own the rights to the final assets created. You are free to use them for commercial campaigns, paid ads, and social posts.
• Our License: To make the magic happen, you grant Uramaki a worldwide, non-exclusive license to host, store, and process your content solely to provide and improve the service for you.
• The Tech: You own the post, but we own the 'Chef'. The Uramaki platform, algorithms, software, and brand assets remain our exclusive Swiss intellectual property.

5. Payments, Refunds & Swiss VAT

• Subscriptions: Services are billed in advance.
• Swiss VAT: If you are a Swiss resident, the applicable VAT will be added to the price.
• Refunds: Since we provide immediate access to digital resources and AI processing power, refunds are generally not provided unless required by Swiss law or specifically stated in your plan.

6. Acceptable Use (Don't be 'that' guy)

You agree not to use Uramaki to:

• Generate 'Deepfakes' or non-consensual imagery.
• Produce hate speech, illegal, or highly offensive content.
• Infringe on third-party copyrights (don't ask the AI to copy a specific artist's protected work).
• Use 'bots' or scrapers to overwhelm our Swiss servers.

7. Limitation of Liability

To the maximum extent permitted by Swiss Law:

Uramaki is provided 'As Is'. We aren't liable for loss of profits, data, or reputation resulting from your use of the service. Our total liability is strictly limited to the amount you paid us in the 12 months prior to the incident. In Switzerland, we cannot exclude liability for 'gross negligence', but for everything else, we are covered.

8. Termination

We hate goodbyes, but we reserve the right to suspend your account if you break these rules. You can cancel your subscription at any time through your dashboard.

9. Governing Law & Jurisdiction

Governing Law: These Terms are governed by the laws of Switzerland, excluding its conflict of law rules. Place of Jurisdiction: Any disputes shall be submitted to the exclusive jurisdiction of the courts of Lugano, Switzerland.
